As the complexities of cross-border M&A continue to evolve, the ability to navigate high level corporate governance has become a defining trait of successful integration leaders.

With extensive experience serving on several boards, Etelka Katona, joined Robert Keszte (CEO of Aumovio Hungary), Ted Boone (Of Counsel at Dentons), Judit Budai (Partner at Szecskay Law) and other business leaders to conduct a board SIM meeting for international business students at Corvinus University in Budapest.
The simulation placed participants in the boardroom of "ABC Nyrt.," a company dual-listed on the Budapest Stock Exchange (BSE) and the New York Stock Exchange (NYSE) via ADRs. The critical decision at hand: the potential acquisition of "Go Green GmbH," a manufacturer specializing in next-generation biofuels.
The session featured a distinguished panel of "Board members," including Theodore Sebastian Boone, Judit Budai, Dóra Göndöcs, PhD, Andras Hanak, Robert Keszte, and Laszlo Szivi. Together, they navigated the intense debate, strategic foresight, and fiduciary responsibilities required to evaluate a deal of this magnitude.
The PMI Perspective in the Boardroom
While board simulations often focus on the financial "Go/No-Go" decision, the contribution of Post-Merger Integration (PMI) expertise highlighted the vital role of execution in the pre-deal phase. This perspective allowed the group to look beyond the immediate acquisition toward the long-term operational reality.
